§For investors, lenders, and litigation funders

IP due diligence for investors who need the facts before the opinions

Venture investors, private-credit and IP-backed lenders, and litigation funders use our data packs and commercial valuations to see what a patent portfolio actually contains. Facts and ranges, delivered fast. Legal opinions stay with your counsel.

§ 01Where you are

Most diligence delays are factual questions waiting in a legal queue

IP due diligence for investors usually stalls on questions that are not legal at all. Who is the recorded owner of each patent? Is every maintenance fee paid, and when is the next one due? How large is each family, and in which countries? Which patents are cited most by others, and by whom? Each answer sits in a public record, and each one has to be pulled, checked, and organized before counsel can form a view.

We do that part. Our data packs set out the facts in a standard format, so a deal team can compare one target with the last and counsel can spend its hours on the questions only counsel can answer. Diligence is an X-ray: it shows what is inside before you carry it. We take the image. Your counsel reads it for legal risk.

When a number is needed, our commercial valuations give cost, market, and income-based ranges with every assumption written down. They are business estimates for planning, not fairness opinions, tax appraisals, or investment advice. For litigation funders, we run validity and invalidity searches whose references and audit trail go to the funder’s counsel for evaluation.

We give no legal opinions on title, validity, or enforceability, and we do not arrange loans, securities, or investment interests. Our scope and disclosures page sets out the full boundary.

§ 03A typical path

From term sheet to a documented record

  1. 01

    NDA and scope

We sign an NDA, agree the patents and questions in scope, and fit delivery to your deal calendar. A fixed-fee quote follows within one business day.

  2. 02

    The data pack

Family structure, recorded assignments, maintenance status, citations, and comparables, organized in a standard format with links to every source.

  3. 03

    Flags for counsel

Facts that deserve legal attention, such as a gap in recorded assignments or a lapsed family member, listed plainly without legal conclusions.

  4. 04

    A valuation range, if needed

Commercial ranges with every assumption stated, so your team can test the inputs rather than trust a single number.

  5. 05

    Monitoring after close

Fee windows and public status tracked in Hoard Ledger for the life of the hold or the loan.

What we will not tell you

Whether to invest or lend. Whether a patent is enforceable, or whether title is sound. Whether a valuation is fair for financial reporting. Those judgments belong to your investment committee, your counsel, and your auditors. We give them better facts to work with.

Questions from deal teams

Something else on your mind? Call (505) 357-5188 or write to info@metadragons.com.

Can you tell us whether the target’s patents will hold up?

No. That is a legal judgment for your counsel. We can run a validity search that supplies the closest prior-art references, with technical mapping and an audit trail, for counsel to evaluate.

Can we use your valuation for financial reporting or tax?

No. Our valuations are commercial estimates for business planning, presented as ranges with stated assumptions. For financial reporting or tax purposes, use a qualified appraiser.

How fast is a data pack?

Typically 5–10 business days, depending on the number of families and countries in scope. Tell us your deal date on the scoping call and we’ll say what is realistic.

Do you work alongside our counsel?

Yes. Most data packs and search reports go to deal counsel as well as the deal team. Our checklist for investor patent diligence shows how the pieces fit.
